Warranty Policy

Effective Date: 01/01/2025

Effective upon the original date of retail purchase, all LumiFlow-branded products (“Product” or “Products”) are covered by this Limited Warranty, provided solely by Phorium Holdings LLC (“Phorium Holdings,” “we,” “our,” or “us”).

This Limited Warranty applies only to Products sold directly by Phorium Holdings or its authorized resellers and is extended exclusively to the original end-user purchaser (“you” or “Customer”). This Limited Warranty is non-transferable.

1. Warranty Coverage

Phorium Holdings warrants that, under conditions of normal use, each LumiFlow-branded Product will be free from defects in materials and workmanship for a period of two (2) years from the date of purchase (“Warranty Period”).

Remedies under this Limited Warranty are limited exclusively to one of the following, at Phorium Holdings’ sole discretion:

  • Repair of the defective Product using new or refurbished parts,
  • Replacement with an equivalent Product that may be new or refurbished (and may contain cosmetic imperfections),
  • Or refund of the original purchase price, minus applicable deductions.No repair or replacement shall extend or renew the original Warranty Period.

2. Warranty Exclusions

This Limited Warranty does not cover:

  • Damage resulting from misuse, abuse, accidents, neglect, or improper installation

  • Alteration or repair by unauthorized parties

  • Operation with unapproved power supplies, controllers, or firmware

  • Cosmetic damage (including scratches, discoloration, or fading)

  • Normal wear and tear consistent with expected use

  • Loss or damage incurred in transit after delivery from Phorium Holdings

  • Commercial, industrial, rental, or institutional use

All claims are subject to Phorium Holdings’ sole evaluation and discretion. Products deemed ineligible will not be repaired, replaced, or refunded under this policy.

3. Disclaimers of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS LIMITED WARRANTY IS PROVIDED IN LIEU OF, AND PHORIUM HOLDINGS EXPRESSLY DISCLAIMS, ALL OTHER WARRANTIES OR CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No oral or written information or advice provided by Phorium Holdings, its distributors, resellers, or agents shall create any warranty beyond the scope of this document.

4. Limitation of Warranty

IN NO EVENT SHALL PHORIUM HOLDINGS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF USE, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In all cases, Phorium Holdings’ total aggregate liability shall not exceed the amount actually paid by the Customer for the Product in question.

5. Warranty Claim Procedure

To initiate a warranty claim, the Customer must:

  1. Email info@lumiflow.co within the Warranty Period;

  2. Provide proof of purchase and a written description of the issue;

  3. Supply photo or video documentation as requested.

Phorium Holdings may require the return of the Product for physical inspection. Return shipping may be at the Customer’s expense unless otherwise determined by Phorium Holdings.

Products returned without prior authorization will not be processed or returned.

6. Governing Law and Dispute Resolution

This Limited Warranty shall be governed by the laws of the State of Minnesota, excluding conflict-of-law principles. Any disputes arising under or in connection with this Limited Warranty shall be resolved exclusively through confidential binding arbitration or small claims proceedings, as permitted by law.

Nothing in this section is intended to limit rights that may not be waived under applicable consumer protection laws

7. Severability

If any provision of this Limited Warranty is held unenforceable or invalid under applicable law, the remainder shall remain in full force and effect.
